＜概要/Course Content Summary＞

　この授業はアメリカ式（英文）の契約書実務とアメリカ契約法の特徴を中心とする。講義は英語で行いますが，必要に応じてディスカッションは日本語で行うことができます。それでも高度な英語力が必要です。主な教材（契約書のサンプルなど）は英文となり，相当な英文解読力が必要です。詳細については以下の英語概要を参照してください。　
　　
Although this course will focus on practical training in US-style contract documentation (in English)，it will start with an introduction to the US legal system in general and some of the unique characteristics of American contract law (consideration，for example). We will discuss how these characteristics，together with aspects of the US case-law system and statutory regimes such as the Uniform Commercial Code affect the drafting of American contracts. This class is intended to provide students with a basic familiarity with US contract documentation and some common contract provisions， as well as some practical English contract drafting skills.　
　
Lectures will be given in English，though discussions may be in Japanese if necessary (a high level of English will be required).Because actual English language contract provisions will be used without translation，students will need to have a high level of English reading comprehension in order to succeed.　Questions and discussions by students may be in Japanese if necessary.　
　
Each week students will be required to translate select contract provisions into Japanese. Students will NOT be graded on the accuracy of their translations， but failure to do this homework will make it difficult to follow lectures and students will be graded accordingly.　
　
This class is also open to auditors from legal professions and corporate legal departments.

（2）英文契約書によく使われる条文・文言に対する基礎知識及び同条文の作成・交渉に当たる注意事項に対する理解の取得

　すべての学生は各回の予習として，英文契約書の条文を事前に和訳しなければならない。

＜成績評価基準/Evaluation Criteria＞

期末試験　(Final Exam)	60%	Final exam will consist of a contract review exercise.
授業参加　（Class Participation)	20%	Active participation in class discussions will be expected.
提出物 (Assignments)	20%	Every week participants will be required to submit Japanese translations of English contract provisions. Assignments will NOT be evaluated for correctness/accuracy. However， because it will be difficult to understand the lectures without understanding the contract provisions being discussed， the effort apparent from these translations will be evaluated.
